STANDARD TERMS AND CONDITIONS OF SALE
Effective Date: 18 March 2026
Seller: RJ Royale Farms, Private Limited, registered under the Companies Act, 2013, having its registered office at Badlapur, Maharashtra, India.
Buyer: Any person or entity placing an order with the Seller.
1. Applicability
1.1 These Terms and Conditions (“Terms”) govern all sales of goods and/or services by the Seller to the Buyer.
1.2 By placing an order, the Buyer accepts these Terms in full. Any additional or conflicting terms proposed by the Buyer are expressly rejected unless agreed in writing by the Seller.
2. Orders
2.1 All orders are subject to acceptance by the Seller. Acceptance occurs when the Seller confirms the order in writing.
2.2 The Seller reserves the right to refuse or cancel any order without liability, including due to stock unavailability, technical errors, or regulatory restrictions.
3. Prices and Payment
3.1 Prices are as listed on the Seller’s website or quotation at the time of order. Prices are exclusive of GST, delivery charges, or any other statutory taxes unless explicitly mentioned.
3.2 Payment Terms:
- 100% advance payment is required for all orders.
- No credit facility or deferred payment is allowed under any circumstances.
3.3 Payment methods accepted include online transfer, UPI, credit/debit card, or other modes agreed in writing.
3.4 Orders will be processed and goods dispatched or prepared only after receipt of full payment.
4. Delivery and Risk
4.1 Retail/E-commerce Buyers: Delivery mode is pickup from store only.
4.2 Bulk/Restaurant Buyers: Delivery or pickup will be provided based on prior agreement.
4.3 Risk in goods passes to the Buyer upon delivery to the agreed location or upon pickup from the store.
4.4 Buyer is responsible for inspection at the time of delivery or pickup and must report any discrepancies as per Section 5.
5. Returns, Refunds, and Exchanges
5.1 Perishable Nature of Microgreens: All microgreens are perishable.
5.2 Retail/E-commerce Buyers: No returns or refunds are permitted for in-store pickups.
5.3 Bulk/B2B Buyers (e.g., restaurants):
- Returns, exchanges, or refunds are available only if the delivered microgreens are not fresh or damaged (e.g., watery).
- Proof of damage must be submitted within 1 hour of delivery.
- If goods have not been stored or transported at the recommended temperature and perish, the Seller shall not be liable for refunds or exchanges.
6. Warranties and Liability
6.1 The Seller warrants that the goods conform to agreed specifications at the time of delivery.
6.2 No other warranties, express or implied, are provided including merchantability or fitness for a particular purpose.
6.3 Liability for any claim, including for loss or damage, is limited to the value of the goods supplied.
6.4 The Seller shall not be liable for indirect, incidental, or consequential damages, including losses arising from improper storage or handling by the Buyer.
7. Intellectual Property
7.1 All intellectual property rights in the products, branding, packaging, and promotional material remain the property of the Seller.
7.2 The Buyer shall not reproduce, modify, or distribute any such materials without written permission.
8. Force Majeure
The Seller is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, strikes, government actions, or transport disruptions.
9. Confidentiality
9.1 Any proprietary information shared between parties must remain confidential.
9.2 This obligation continues for [e.g., 2 years] after termination of the agreement.
10. Governing Law and Jurisdiction
10.1 These Terms shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, and relevant provisions of the Sale of Goods Act, 1930.
10.2 Disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of State courts .
11. Miscellaneous
11.1 Any notice required under these Terms shall be in writing and sent to the official addresses of the parties.
11.2 If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.
11.3 These Terms constitute the entire agreement between the Seller and Buyer and supersede all prior communications.
